OFFICIAL RULES

No purchase or payment is necessary to submit your video. There is no limit on the number of videos you may submit.

1. Offer for Submission: To submit your video, use this Internet page to complete the form and submit your video (10 MB maximum file size).

2. Format of Submission: Save your video as a QuickTime .mov, Windows .avi or .mpg file. Use your favorite compression, but be sure it is a standard video codec we are likely to have. MPEG4 works great. 400 x 300 resolution and compressed audio. If it does not look and sound good to you, it won’t look and sound good to us. Videos submitted on disc must be resized to these specifications in order to be considered. Maximum file size is 10MB. Videos must not make unauthorized use of copyrighted property; must not exploit children or animals, and; must not contain any material which D-LINK in its sole discretion deems patently offensive or having explicit and gratuitous violence, nudity or sexual content.

3. Selection Process and Criteria: A committee of D-LINK employees will choose videos to be included on D-LinkTV based on the image quality, creativity, originality, relevance, story, humor or other criteria as decided exclusively by D-LINK. The decisions are at the complete discretion of the committee.

4. Indemnification: EACH SUBMITTER AGREES THAT D-LINK, ITS SUBSIDIARIES, AGENTS, AFFILIATES, PARENT, EMPLOYEES, OFFICERS AND/OR DIRECTORS SHALL HAVE NO LIABILITY WHATSOEVER FOR, AND SUBMITTER AGREES TO INDEMINFY AND HOLD HARMLESS SUCH PARTIES FROM ANY LIABILITY FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF PARTICIPATION IN THIS OFFER. SUBMITTER FURTHER AGREES TO DEFEND, INDEMNIFY, AND HOLD D-LINK ITS SUBSIDIARIES, AGENTS, AFFILIATES, PARENT, EMPLOYEES, OFFICERS AND/OR DIRECTORS HARMLESS AGAINST ANY LOSS, COST, LIABILITY, AND EXPENSE (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM ANY ACTION OR CLAIM BROUGHT OR THREATENED AGAINST D-LINK FOR ANY SUBMISSION OR ANY PART THEREOF, WHICH INFRINGES ANY PATENT, COPYRIGHT, TRADEMARK, TRADE SECRET, OR OTHER INTELLECTUAL PROPERTY RIGHT OF ANY THIRD PARTY.

5. Limitation of Liability: D-LINK, ITS SUBSIDIARIES, AGENTS, AFFILIATES, PARENT, EMPLOYEES, OFFICERS AND/OR DIRECTORS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE DAMAGES, OR ANY DAMAGES WHATSOEVER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ALLEGEDLY SUSTAINED OR ARISING OUT OF THE SUBMISSION, YOUR USE OF OR RELIANCE ON THE OFFER TO SUBMIT OR ANY OF THE INFORMATION OR MATERIALS AVAILABLE FROM THE OFFER TO SUBMIT, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

6. Use of Materials Supplied by You: You acknowledge that submissions to THE OFFER FOR SUBMISSION are not private. By submitting your video, you grant D-LINK a royalty-free, perpetual, non-exclusive, unrestricted, worldwide license to use, reproduce, modify, adapt, translate, enhance, transmit, distribute, publicly perform, display, or sublicense any such submission (including your identity, picture, portrait, likeness, voice and/or other information about you) in any medium (now in existence or hereinafter developed) and for any purpose, including commercial purposes, and to authorize others to do so, without further compensation.

7. Copyright and Intellectual Property Complaints: D-LINK respects the intellectual property of others, and we ask you to do the same. Submissions cannot include representations of any person unless he or she has executed a release acceptable to D-LINK and made available upon request. Any submission with names, logos or other indicia that may be owned or controlled by a third party is ineligible (such third party indicia must be removed prior to submission). The submitting party represents that nothing contained in the submitted video is copyright protect, trademark protect, or used without the express written consent of the owing party. You are responsible for ensuring that any material you provide to THE CONTEST, including but not limited to text, photographs, and sound, does not violate the copyright, trademark, trade secret or any other personal or proprietary rights of any third party or is posted with the permission of the owner(s) of such rights.

8. Miscellaneous: By completing and submitting a registration for THE OFFER FOR SUBMISSION, the registrant agrees to abide by the terms of these official rules and the decisions of D-LINK, which are final and binding on all matters pertaining to THE OFFER FOR SUBMISSION. D-LINK reserves the right to cancel, modify, amend, or extend THE OFEER FOR SUBMISSION at D-LINK’s sole discretion. D-LINK assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries.

9. CAUTION: ANY ATTEMPT BY A SUBMITTER TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, D-LINK RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
